Wednesday, September 23 | Special purpose acquisition companies (SPACs): A popular alternative path to the public markets (11 am ET)

Over the last several years, and particularly over the last several months, the market for SPACs has grown and matured significantly. This has opened a viable alternative and expedited path for private companies to access the public markets. SPAC initial public offerings (IPOs) have generated more than $10 billion of proceeds each year since 2017, a milestone not seen since before the financial crisis of 2007 and 2008.

During this webcast, we will review the latest trends driving this rise in SPAC transactions. We'll also cover the basics of executing a SPAC, with key perspectives from our experienced financial accounting, tax and capital markets professionals. Topics will include:

  • SPAC history and latest trends: why now?
    • Challenges to accessing capital in today's landscape
    • Overview and benefits of a SPAC
  • How to get it done: critical success factors
    • Key concepts and typical corporate structure options
    • Pre- and post-SPAC IPO considerations
    • SPAC IPO timing and preparation
  • Initial business combination or de-SPAC basics
    • Financial accounting and tax considerations
    • Proxy statement process
